Syndicate of the bankruptcy of Witmalu sp. z o.o. in bankruptcy with its registered office in Warsaw (KRS 0000496040) in bankruptcy proceedings pending before the District Court for Warsaw, XVIIIth Economic Division (act WA1M/Gup/90/2024), invites you to submit offers for the purchase of organized part of the company operating by approx. 10 years in the e-commerce segment for animals (e.g. apetete.pl shop). The sale is carried out on the basis of the provisions of the law of the Bankruptcy Law, having the effect of enforcing the sale. The subject of the sale of an organised part of the company The object of the sale is a coherent, integrated sales and marketing body, designed to operate in online commerce. The organised part of the enterprise shall consist of: 1. e-commerce platform and marketing ecosystem (shop, domains, social media channels). 2. Own brands and rights/irregular assets (e.g. Benjis Planet, FAFIK, KOEMA, NALULI; trademarks, marketing materials, content, graphics, packaging). 3. Package of outstanding claims (package approx. 80 claims). 4. The accounts of the bankrupt for the period prior to the bankruptcy. 5. Individualising the company or its distinct parts (name of company) WITMALU. The organized part of the company does not include real estate. Starting price The starting price is PLN 156 662,37 (say: one hundred fifty-six thousand six hundred sixty-two gold thirty-seven cents) net. VAT may be added to the price in accordance with the applicable rules. Procedure and conditions for the submission of tenders 1. Terms of sale: The detailed terms of sale, including the terms of the offer, are laid down in the terms and conditions of sale free of charge, which may be made available by the syndicate at the request of the party concerned. 2. Form of offer: offer must be submitted in Polish in one of the following forms: a. paper in a closed, opaque envelope with an additional note: "ONCE OPENED" "WITMALU OFFER" ZCP "WA1M/GUP/90/2024"; b. electronic electronic document with a qualified electronic signature or trusted signature; an electronic signature scan does not meet the requirement of electronic form. 3. Place of submission of the offer: the paper offer must be delivered in person either by post or courier to the Syndyka Office: ul. Bagatela 15/73, 00-585 Warszawa. The electronic offer should be sent to the address office@bmmres.pl, entering in the title of the message: WITMALU WITMAL ZCP WA1M/Gup/90/2024. 4. Deadline for submission of tenders: 02 September 2026. 5. Content of the offer: a. the name or the name (company) of the tenderer, address of residence or registered office, PESEL number or KRS number or other relevant registration number, NIP number, if assigned, telephone number and e-mail address; b. the offered net purchase price, specified digitally and verbally, not less than the call price; in the event of discrepancies, the price specified in words shall be binding; c. proof of deposit; d. a statement that the tenderer has become aware of the fact and legal status of the subject-matter of the sale and does not raise objections to it; e. a statement of recognition and acceptance of the Free Trade Rules of 17 August 2026; f. an obligation to cover costs related to the conclusion and execution of a sales contract; g. signature of the tenderer or of the persons duly authorised to represent him. h. the tender must be accompanied by documents demonstrating the legitimacy of the persons signing the tender if it does not result from a publicly available register and a power of attorney, if the tender is submitted by a proxy. 6.Wadium: 15 666,24 zł, payable until 02 September 2026. 7.
