JUDICIAL NOTICE on a written tender for the sale of a failed Genesis Bluebird company with its registered office in Gdańsk in its entirety in bankruptcy proceedings under the name of Act GD1G/GUP/76/2023 Syndicate of the bankruptcy of Genesis Bluebird, a company with its registered office in Gdansk, pursuant to Article 320 of the Law of 28.02.2003. Bankruptcy law and under the terms and conditions laid down in the Rules of Procedure of 27 April 2024 approved by the Judge-Committee by order in Case GD1G/GUp/76/2023 publish in writing an unlimited tender for the sale of: 1. The subject of the tender is the sale: the company of the fallen Genesis Bluebird as a whole comprising a set of intangible and material components intended to carry out business activities described in detail in the Description and estimation of Genesis bluebird sp. z o.o. of March 2024. Annex No 1 to the Rules of Procedure of the Tender, including in particular: (a) Source files of a project called Genesis Bluebird together with documentation and presentations secured from the Amazon S3 network carrier and related copyright and related rights of the Bluebird platform (see the Description and estimation of Genesis bluebird sp. z o.o. of March 2024 in Annex 1 to the Rules of Procedure for the tender), (b) Fixed assets and equipment (including, inter alia, computer equipment, electronic equipment, office equipment, furniture, detailed description is provided in the Description and estimation of Genesis Bluebird sp. z o.o. of March 2024 in Annex No 1 to the Rules of Procedure of the tender), for the total call price not less than PLN 2 926 000,00 net (say: two million nine hundred twenty six thousand zlotys and 00/100) plus any VAT. 2. The possibility of a separate sale of the rights of the bankrupt company referred to in §3 (1) of the Rules of Procedure shall be excluded; 3. The sale and acquisition and the release of the bankrupt company in full shall take place in the state in which it is situated on the date of sale. CONDITIONS OF THE TRANSPARENCY The detailed terms and conditions of the invitation to tender are laid down in the Rules of Procedure of the tender, which was submitted for inspection by interested parties at the syndicate's office in Gdansk at ul. It is unacceptable for one tenderer to submit more than one offer for purchase to the undertaking described in paragraph 3. 1 Rules of Procedure for the invitation to tender. The offer thus constructed will be rejected. 5. The conditions for participation in the invitation to tender shall be the payment of a security: 292 600,00 zł (say: two hundred ninety two thousand six hundred zlotys and 00/100). 6. The security shall be transferred at the latest upon submission of the tender, provided that the security must reach the bank account indicated above on 24 June 2024 at the most, under the strict conditions of rejection. 8. The offer is to be drawn up clearly in Polish and must contain a clear: (a) the name, surname and address in the case of natural persons submitting the tender and the name and registered office of the economic activity, in the event of its operation, possibly its name, address and legal form, where the tender is submitted by persons other than natural persons, (b) an up-to-date printout or a copy from the register of economic operators of the National Court Register or other relevant registers (applies to legal persons and organisational units to which the law grants legal capacity), (c) an indication of the NIP and REGON numbers (for entities with such a number) or a PESEL number for natural persons, or a declaration that the person concerned does not have a PESSEL number, (d) an indication of the bankrupt undertaking to which the tender relates (detailedly described in §3 (3)). 1 of the Rules of Procedure of the invitation to tender), (e) the offered net purchase price, which may not be lower than the call price referred to in paragraph 3. 1 Rules of Procedure for the tender, (f) a statement of the tenderer's commitment as a future buyer to cover all costs, taxes and charges relating to the conclusion of the contract and the transfer of ownership of the failing company, (g) a statement of inspection and of acceptance of the terms and conditions of the Rules of Procedure for the tender, (h) a statement that the tenderer does not belong to the circle of entities referred to in paragraph 4. 3 Rules of Procedure for the tender, (i) a statement that the tenderer has taken note of the facts and the legal status of the bankrupt undertaking and of its technical status and does not raise objections to them and agrees to exclude the guarantees for physical and legal defects under Article 558 (1) of the Civil Code, (j) a written statement that the person financing the purchase of the subject-matter of the tender is either a tenderer or a bank or another entity, the latter being identified, (k) proof of payment of the full amount paid from the tenderer's account; (l) an indication of the bank and the bank account number to be returned if the offer is not accepted; (m) statements by a natural person of his or her marital status in the event of an offer being made by an individual. 9. Documents drawn up in a foreign language will be submitted together with a juror's translation into Polish. 10. The offer and any statements attached thereto shall be accompanied by the signatures of the tenderer who is a natural person or by the signature of the persons authorised to represent the tenderer that is not a natural being in accordance with the means of representation. The representatives of the participants in the invitation to tender shall also present the authority with the signatures of the notarially certified persons giving the power of attorney, indicating the power to act in the context of this tender. 11. All documents annexed to the tender shall be submitted in the original or a notarial copy certified for compliance with the original under the rigour of rejection. 12. The opening and recognition of tenders will take place at a public meeting on 26 June 2024 at 10 a.m. in the Gdansk-North District Court building at 10 Piekarnicza Street, 80-126 Gdańsk in Hall B65. 13.
