Syndicate of the bankruptcy of VOPOL sp. z o.o. in bankruptcy with its registered office in Legnica, previously operating under PROVENTURE sp.z o. o. and HR MANAGER sp. Z o.O., KRS: 0000797058, in bankruptcy proceedings before the District Court in Legnica, V Economic Division, under the name of LE1L/Gup/3/2025 act, announces sale free of hand of one undivided set of claims and rights assets forming part of the bankruptcy mass. The sale takes place on the basis of the order of the Judge-Commissioner of 21 August 2026, sygn. LE1L/GUp/3/2025/112, which agreed to sell free-of-hand the set of claims and property rights described below. I. SUBJECT MATTER OF THE SALE The object of the sale is one indivisible set of claims and property rights forming part of the bankruptcy estate of VOPOL sp. z o.o. in bankruptcy, with a total nominal value of the claims and the value of outstanding claims amounting to PLN 2.670.099,79, including by-laws and any rights related to those claims and claims, existing at the date of conclusion sales contracts. The package shall include in particular: 1) commercial claims of a total value of PLN 139.971,21 including: · TETON sp. z o.o. sp.k. . 52.047,68 zł, · STERENERGO DRAFT SP. z o.o. 4.609,26 zł, · CDMD sp. z o.o. 60.913,79 zł, · to a natural person carrying out an economic activity of PLN 0,48; · to a natural person conducting an economic activity of PLN 2.400,00; · vis-à-vis a natural person - PLN 20.00.00; 2) claim against HR Manager sp. z o.o. sp.k. in the amount of PLN 577.319.05 with rights and powers for its investigation and protection, including rights resulting from Articles 527-534 k.c.; 3. a claim for compensation against a natural person of PLN 1,248.185,20; 4) Competitive claims relating to the same damage in the amount of PLN 704.624,33, owed to individuals. The claims referred to in point 4 relate to the same injury and must not lead to double satisfaction of the buyer. Each amount obtained from one of these claims shall, to the appropriate extent, reduce the amount which can be investigated on the basis of the other. Detailed information on the claims and property rights to be sold, including information necessary for the identification of debtors and source documentation, may be made available to entities which show a genuine interest in the acquisition of the package, upon prior submission of a statement of confidentiality, only to the extent necessary to assess the subject-matter of the sale. The scope of the information and documents made available may be limited to the extent necessary for the protection of personal data, business secrecy and other legally protected information. The package is indivisible. Partial tenders shall not be accepted. II. MINIMUM PRICE AND USE OF SALE The sale will be made free of charge by means of a public invitation to tender. The minimum price for the whole package in the first procedure of searching for the buyer is PLN 250.00.00 (say: two hundred fifty thousand PLN 00/100). The sale shall be made to the tenderer who shall offer the highest price not less than the minimum price in force in this procedure. In the absence of a correct offer corresponding to at least the price of PLN 250.00.00, the Syndicate is entitled to carry out another procedure with a minimum price ofPLN 225.00.00 and in the event of its ineffectiveness the third procedure with the minimum price PLN 200.00.00. Sales may not be made at a price less than PLN 200.00.00. III. DATE AND METHOD OF ADMINISTRATION OFFER Tenders shall be submitted by 30.09.2026 until 30.00. 3:00. The time limit for the submission of tenders may not be less than 14 days from the date of publication of the last of the notices of sale. Tenders may be submitted: · (a) in writing at the address of the Syndician Office: Monastery Square 1st place. 2, 59-220 Legnica, or (b) in electronic form to the following address: syndyk_ilt@kancelariailt.pl, as a document bearing a qualified electronic signature, a trusted signature or a personal signature or as a scan of an offer previously signed by the tenderer or a person authorised to represent him. The timing is determined by the moment of the impact of the complete offer to Syndicus, not by the date it was given. IV. OFFER REQUIREMENTS The offer shall contain at least: (a) the name or company of the tenderer; (b) the address of the residence or residence; (c) the PESEL, KRS, NIP or other appropriate identification number; (d) the person entitled to represent the tenderer, if any; (e) the price offered, indicated digitally and verbally in Polish zlotys; (f) e-mail address and telephone number; (g) a statement of familiarity with the Terms of sale and their acceptance without reservation; (h) a statement of knowledge of the legal and factual situation of the subject-matter of the sale and the acceptance of the risks associated with the investigation and enforcement of purchased claims and property rights; (i) a statement of possession of the means enabling the entire price offered to be paid; (j) a statement that the tenderer is not aware of any legal obstacles preventing the acquisition of the subject-matter of the sale; (k) supporting documents if required; (l) the signature of the tenderer or of the person empowered to represent him; (m) a declaration of binding the tender for a period of 30 days from the expiry of the time limit for the submission of tenders. Conditional tenders submitted after the deadline, not signed, incomplete or providing for a price below the minimum price shall not be considered. These conditions are based on the terms of sale prepared by the Syndicate. V. SELECTION OFFER Of the well submitted offers, Syndyk will choose an offer with the highest price, no lower than the minimum price. If at least two correct tenders with the same highest price are submitted, the selection of the offer will be decided on by the order of impact of the complete offer to Syndica. The submission of an offer shall not constitute the conclusion of a sales contract. VI. PRICE PAY AND CONNECTION OF THE AGREEMENT The successful tenderer will be obliged to pay the entire price offered to the bank account of bankruptcy within 3 working days of the date on which he was notified of the choice of his offer, but no later than before the conclusion of the contract of sale and transfer of claims and property rights. The contract for the sale and transfer of claims and property rights will be concluded after the entire price has been recorded in the bank's bankruptcy account. All costs, fees and taxes relating to the conclusion of the contract shall be borne by the purchaser. The unsuccessful expiry of the due date for payment of the price shall be treated as the cancellation of the successful tenderer from payment of that price. In such a case, the Syndicate will be entitled to choose another properly submitted offer with the highest price, no lower than the minimum price in force in the given procedure, or to renew the buyer's search procedure. VII. LEGAL AND FACTS OF THE SALE Credits and claims shall be disposed of in the legal and factual state existing at the date of conclusion of the sale contract. The entity concerned should examine and assess the legal and factual situation of claims and property rights on its own, in particular their existence, amount, requirement, statute of limitations, possibility of investigation and the possibility of effective enforcement. The Syndicate shall not provide assurance as to the possibility, timing or extent of obtaining satisfaction from the claims and property rights covered by the sale. The buyer assumes the risks associated with their further investigation and enforcement. Full Terms of Sale are available to interested parties. VIII.
